Philips and Agilent announce clearance of antitrust review by U.S. Department of Justice

Royal Philips Electronics (AEX: PHI, NYSE: PHG) and Agilent

Technologies Inc. (NYSE: A) announced today that the U.S. Department

of Justice has decided to allow the acquisition of Agilent's

Healthcare Solutions Group by Philips to proceed without challenge.

The parties are working to close the transaction as soon as

possible.

Agilent will present financial data showing HSG as a discontinued

operation at the filing when it files its Form 10-Q for the quarter

ended April 30, 2001 with the Securities and Exchange Commission in

June 2001.
